Who you are dealing with
Synapse Network, a Delaware company, runs the register, Synapse Agent and the events. “We” means that company; “you” means the person using the site or holding a seat.

What a seat is
Membership is a monthly subscription of $399 a seat, with the first two months free. A card is added at the end of onboarding and charged when the free months end, unless you cancel first. A seat gives you Synapse Agent: introductions matched to mandates you state, the register, deal rooms, dinners and the calendar.
It is personal to you and to the firm named on your entry. You may not share your key, hold a seat for someone else, or pass what you see here to people outside the network.

What we never take
No fee is ever a percentage of a deal, a success fee, carry, or contingent on anything closing. We are not brokers, placement agents, or advisers, and nothing we recommend is paid for by anyone.

Not advice, not an offer
Nothing here is investment, legal, tax or accounting advice, a recommendation to buy or sell anything, or an offer or solicitation of securities.
What members write about themselves and their deals is their own statement. We pass it on as given; we do not verify figures, and an introduction is not a view on anyone’s merits. Do your own diligence before you commit money.

Admission and removal
Admission is by conversation and at our discretion, and we do not have to give a reason. You confirm the information you give us is true and that you may lawfully act for the firm you name.
We may suspend or end a seat for breaking these terms, for conduct that damages the register, or for non-payment. You may end yours at any time; unless your agreement says otherwise, fees already paid for the current period are not refunded.

What members owe each other
Treat what you see here as confidential: another member’s identity, mandate, deal or position is theirs, not material to forward, list, scrape or sell.
No spam, no mass solicitation, no using the register to build a database. One warning, then the seat goes. Deal-room documents are also covered by the separate non-disclosure agreement you sign in the room.

Offerings and investor status
Where a deal is an offering of securities, the sponsor makes it through its own documents, to investors it verifies itself. Your statement that you are an accredited investor is your own; it is recorded with its date and shown to sponsors you ask to come in, and it does not make us a party to any subscription.

Synapse Agent
Much of Synapse is automated: it reads what you send, proposes introductions and acts on clear replies such as “yes” or “pass”. It can misread. Nothing it does commits you to money or contracts, and the things that matter, accepting an introduction, asking into a deal, signing an NDA, always take your word first. Tell us when it gets something wrong and we will put it right.

Your content
What you write and upload stays yours. You give us permission to store it and show it as the service requires: to us, and to the members you choose to open it to. Don’t upload anything you lack the right to share.

Availability and liability
We work to keep Synapse running but cannot promise it is always available or error free, and we are not responsible for what members do with an introduction.
To the extent the law allows, neither side is liable for indirect or consequential loss, or for lost profits or lost opportunities, and our total liability is limited to the fees you paid in the 12 months before the claim.

Changes, law and disputes
We may change these terms; members are told by email before a material change takes effect. They are governed by the laws of the State of Delaware, and disputes go to the state and federal courts sitting in Delaware. How we handle personal information is set out in the privacy notice.
